Terms and Conditions
Last updated: [date]
These terms govern your use of the Threedy Customer Portal (the “Portal”), a web service operated by Threedy GmbH (“Threedy”, “we”, “us”) for customers of the instant3Dhub product. Read them before you create an account. By creating an account or using the Portal, you accept these terms.
1. Acceptance of terms
By creating an account, signing in, or otherwise using the Portal, you agree to these terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the Portal. If you use the Portal for an organisation, you confirm that you are authorised to accept these terms for that organisation.
We may make these terms available in more than one language. Where versions differ, the [English / German] version prevails.
2. Definitions
- Portal - the Threedy Customer Portal web service described in these terms.
- instant3Dhub - the Threedy product for streaming and visualising 3D CAD data in the browser. The Portal is a companion service to instant3Dhub; use of instant3Dhub itself is governed by the separate agreement between your organisation and Threedy.
- Account - the record that identifies you within the Portal, linked to your organisation.
- Identity provider - the authentication service operated by your organisation (or by a third party on its behalf) that the Portal uses to verify who you are.
- Serial key - a license key that identifies an instant3Dhub entitlement held by your organisation.
- Content - files, data, and other material you upload to or generate through the Portal.
- Demo app - a sample application provided through the Portal that runs against Content you supply.
3. Account registration and authentication
You sign in to the Portal through your organisation’s identity provider. Threedy does not set or store your password; authentication is handled by the identity provider, and access to the Portal follows the account status your organisation maintains there.
You are responsible for keeping your identity-provider credentials confidential and for all activity that happens under your Account. Tell us promptly if you believe your Account has been used without your authorisation.
Threedy creates Portal accounts and can change or remove access to them. Your organisation cannot administer Portal accounts itself; ask your Threedy contact to add or remove a colleague. Access to the Portal depends on your organisation maintaining an active relationship with Threedy.
4. Acceptable use
You agree to use the Portal only for its intended purpose: viewing your organisation’s instant3Dhub usage and licenses, reaching learning materials, and trying demo apps. You agree not to:
- access or try to access data belonging to another organisation;
- probe, scan, or test the security of the Portal, or bypass any access control or authentication step;
- interfere with or disrupt the Portal, its infrastructure, or other users;
- upload Content that you do not have the right to upload, or that infringes the rights of others;
- upload malware or any code intended to harm the Portal or its users;
- use the Portal to break any applicable law;
- resell, sublicense, or make the Portal available to anyone outside your organisation.
We may suspend or limit access that breaches this section.
5. Customer data and uploads
The Portal lets you upload files so you can preview them and run demo apps against your own data.
File upload in the Portal is a preview feature. Uploaded files are held in your browser session only and are not stored on Threedy servers. When your session ends, the files are gone, and you will need to upload them again to use them. Because uploads are not persisted, do not rely on the Portal to keep or back up your files. Keep your own copy of anything you upload.
You keep all rights in the Content you upload. You grant Threedy only the limited permission needed to process that Content within your session so the Portal and demo apps can work as described. This preview behaviour may change in a later release; if it does, we will update these terms and describe how uploaded files are handled.
6. License and serial keys
The Portal lets you view the serial keys associated with your organisation’s instant3Dhub entitlement. What the Portal displays does not itself grant, extend, or change any license. The scope of your instant3Dhub license is set by the separate agreement between your organisation and Threedy, and that agreement governs if there is any conflict with what the Portal displays.
Serial keys are confidential to your organisation. Do not share them outside the people in your organisation who need them.
7. Intellectual property
The Portal, instant3Dhub, and all related software, text, graphics, and design are owned by Threedy or its licensors and are protected by copyright and other laws. These terms do not transfer any ownership to you. You may use the Portal only as these terms allow.
Threedy names, logos, and product names are trademarks of Threedy GmbH. You may not use them without our prior written permission, except as needed to identify the Portal and instant3Dhub in normal use.
Learning materials made available through the Portal are for your organisation’s internal use with instant3Dhub. Do not redistribute them outside your organisation without our permission.
8. Demo apps
Demo apps let you try instant3Dhub features against Content you upload. They are provided for evaluation and learning.
Demo apps are provided “as is” and “as available”, without warranty of any kind. They may change, break, or be removed at any time. Results a demo app produces are for evaluation only and should not be relied on for production decisions. As with all uploads, Content you use with a demo app is held in your browser session and is not stored by Threedy.
9. Service availability and preview features
We aim to keep the Portal available, but we do not promise uninterrupted or error-free service. We may suspend the Portal for maintenance, updates, or reasons outside our control, and we may change or withdraw features.
Some parts of the Portal are marked as preview (including file upload and demo apps). Preview features are still in development, may be incomplete or unstable, and may change or be removed without notice. Do not rely on a preview feature for anything you cannot afford to lose or repeat.
10. Data protection and GDPR
Threedy processes personal data in connection with the Portal in line with the EU General Data Protection Regulation (GDPR) and applicable German data-protection law. How we process personal data, the lawful bases we rely on, how long we keep data, and the rights you have as a data subject are described in our separate Privacy Notice, referenced from these terms.
Where Threedy processes personal data on behalf of your organisation, the relevant data-processing agreement between your organisation and Threedy applies.
11. Limitation of liability
To the extent permitted by law, Threedy is not liable for indirect, incidental, or consequential loss arising from your use of the Portal, including lost data from the preview upload feature, lost profits, or business interruption.
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or under German mandatory liability provisions (for example, liability for intent and gross negligence, and under the German Product Liability Act). [Legal to confirm the liability carve-outs and any cap consistent with German law and the underlying instant3Dhub agreement.]
The Portal is provided “as is” and “as available”. To the extent permitted by law, we give no warranties beyond those stated in these terms.
12. Term and termination
These terms apply for as long as you use the Portal. Your access continues while your organisation maintains an active relationship with Threedy and while your Account remains active in your organisation’s identity provider.
Threedy can remove your access at any time, including at your organisation’s request. We may suspend or end your access if you breach these terms, if your organisation’s relationship with Threedy ends, or if we discontinue the Portal.
When access ends, you must stop using the Portal. Because uploaded files are held in your browser session only, ending access does not require Threedy to delete stored uploads; there are none held on our servers. Sections that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) continue to apply.
13. Changes to these terms
We may update these terms as the Portal changes or as the law requires. When we make a material change, we will update the “Last updated” date and, where appropriate, notify you through the Portal or by email. If you continue to use the Portal after a change takes effect, you accept the updated terms.
14. Governing law and jurisdiction
These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for disputes arising from or in connection with these terms is [Threedy GmbH registered seat / court location], to the extent permitted by law. Mandatory consumer-protection provisions of the jurisdiction where a consumer resides are not affected. [Legal to confirm the correct jurisdiction clause for the intended user base, which is expected to be business customers.]
